 Limitations of Liability and Indemnification Provisions

On the other hand, the University may agree to be responsible for the actions of its  own employees and agents when those individuals are acting within the scope of their  employment.

“Both parties agree to be responsible for the acts of their respective employees and agents acting within the scope of their employment.”

The University may also ask that the other party to the contract agree to indemnify the University.  If you think that performance of the contract could result in injury or property damage, consider adding such a provision:  “EverClear Phone Company agrees to indemnify and hold harmless the University for any injuries, property damage, or claims arising from the performance of this contract or from EverClear’s placement of a tower on top of the Lyceum.”
