Signing in One’s Professional Capacity vs. Personal Capacity
Sometimes another party will ask that you sign the contract in your personal capacity, or that you agree to be personally responsible should the University fail to perform under the contract. These provisions can put you personally at risk and should be deleted.
If there is any question about your personal liability, insert a provision stating that you are executing the contract in your professional capacity on behalf of the University and that you are not personally responsible for its performance.
